1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you ("you") and Saidly LLC ("we," "us"), a Kentucky limited liability company, governing your use of Saidly (the "Service"), accessible at saidly.org. By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority where you reside) to create an account. By creating an account, you represent that you meet this requirement.

3. The Service

Saidly is a search-and-discovery service that indexes utterances by US public figures from publicly available sources — primarily YouTube videos (embedded via the YouTube iframe player) and podcast audio (linked to the publisher's RSS-distributed enclosure URL). Saidly does not host third-party audio or video files; playback occurs via embedded players or links to the original publisher.

The Service is intended for journalists, researchers, communications staff, and other users with legitimate informational interests. The Service is not a replacement for primary-source verification.

4. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at security@saidly.org if you suspect unauthorized access.

Subject to these Terms and your compliance with the Acceptable Use Policy ("AUP"), we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal research, journalism, communications, or comparable lawful purposes.

The Service surfaces content originating from third parties. We are not the author or publisher of that content and make no warranty as to its accuracy, completeness, or availability. Your use of any embedded YouTube player is subject to YouTube's Terms of Service, and your use of any linked podcast audio is subject to that publisher's terms.

8. Intellectual property

The Service, its software, design, organization, search index, voice-print models, and accompanying documentation are the property of Saidly LLC and its licensors and are protected by copyright, trademark, trade secret, and other laws. We retain all rights not expressly granted to you.

9. User submissions

If you submit feedback, corrections, or other content (e.g., a "this is not really X" speaker-ID feedback signal), you grant us a worldwide, royalty-free, perpetual license to use that submission to operate and improve the Service.

10. Subscriptions and billing

Paid plans are billed in advance on a monthly or annual basis through our payment processor. You authorize us (and our processor) to charge your designated payment method. Subscriptions auto-renew unless cancelled before the end of the then-current term. Fees are non-refundable except where required by law or as expressly stated in our refund policy.

11. Beta features

We may from time to time make beta or experimental features available. Such features are provided "as is," may change or be removed without notice, and may have limited availability or accuracy.

12. Removal and right to refuse service

We reserve the right, at our sole discretion and without liability, to (a) remove any indexed material in response to a takedown notice, court order, regulatory demand, or our own assessment, and (b) suspend or terminate accounts that violate these Terms or the AUP.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF SEARCH RESULTS. SPEAKER IDENTIFICATION IS PROBABILISTIC AND MAY BE INCORRECT; YOU ARE RESPONSIBLE FOR INDEPENDENT VERIFICATION BEFORE PUBLISHING.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) US$100 OR (B) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless Saidly LLC and its officers, members, employees, and agents from any claim, loss, or demand (including reasonable attorneys' fees) arising from your breach of these Terms or your misuse of the Service.

16. Governing law and venue

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws rules. Subject to Section 17, the parties consent to the exclusive jurisdiction of the state and federal courts located in Louisville, Kentucky.

17. Arbitration; class-action waiver (US only)

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its rules then in effect. Each party waives the right to participate in a class action or class-wide arbitration. You may opt out of this Section 17 by sending written notice to legal@saidly.org within 30 days of first accepting these Terms; opting out does not affect any other Section.

18. Termination

You may terminate your account at any time. We may suspend or terminate access if you breach these Terms or for any reason on prior notice where commercially reasonable. Sections 8, 9, 13–17, and 18 survive termination.

19. Changes

We may update these Terms. Material changes will be communicated by email to account holders or by prominent notice in the Service at least 14 days before they take effect.
